End-User License Agreement

Agreement to use the service

This End-User License Agreement governs access to and use of PerlaNursery, a business software service operated by PerlaSur AgSupply. By accessing or using the service, you agree to use it only for authorized business purposes and in accordance with this agreement.

License scope

PerlaSur AgSupply grants you a limited, non-exclusive, non-transferable, revocable right to access and use PerlaNursery for internal business operations related to nursery inventory, sourcing, order handling, and related financial workflows. No ownership rights in the software are transferred to you.

Account responsibilities

• You must keep login credentials confidential and use the service only through authorized accounts.
• You are responsible for information entered through your account and for activity performed using your credentials.
• You must not interfere with the service, attempt unauthorized access, or use the platform in violation of law.

Business data and integrations

You retain responsibility for the business data you submit to the service. If you authorize a connection to a third-party platform such as QuickBooks Online, you authorize PerlaNursery to access the approved data needed to support the configured workflow. Third-party platforms remain subject to their own terms and privacy practices.

Availability and changes

PerlaSur AgSupply may update, improve, suspend, or discontinue portions of the service as operational needs change. We may also restrict or revoke access if needed to protect the service, comply with law, or address misuse, security concerns, or business changes.

Disclaimers and liability

PerlaNursery is provided on an as-available basis for business operations use. To the maximum extent permitted by law, PerlaSur AgSupply disclaims implied warranties and will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the service, interruption of service, or loss of data, profits, or business opportunities.

Termination

This agreement remains in effect until your access ends. PerlaSur AgSupply may suspend or terminate access at any time if the business relationship ends, account access is withdrawn, or the service is misused. Sections that reasonably should survive termination will remain in effect after access ends.
